1. Acceptance of these Terms

These Terms of Service ("Terms") govern your access to and use of the Magic Audiobook Player mobile application (the "App") for iOS and Android. By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

2. Description of the Service

Magic Audiobook Player is an audiobook player that lets you stream and play audio files you have stored in a Google Drive folder you designate. Optional Premium features include AI-generated "Story so far" recaps, Deep Scan transcription, narrated audio recaps, and character suggestions. The App is provided to you on a personal, non-exclusive, non-transferable, revocable basis, subject to these Terms.

3. Eligibility

You must be at least 13 years old to use the App. By using the App, you represent that you have the legal capacity to enter into this agreement.

4. Your Google Account and Drive Content

To use the App, you sign in with a Google account and grant the App the OAuth scopes described in our Privacy Policy. You retain full ownership of your Google Drive content. The App reads audio files from a folder you explicitly designate and stores a small sync record in a hidden, app-specific Drive folder. The App does not modify, delete, or write to any other content in your Drive.

You are solely responsible for ensuring you have the legal right to use any audio content you place in your Drive folder, including books, podcasts, lectures, or other recordings. The App does not provide content; it only plays files you supply.

5. Premium Subscription and Purchases

The App offers optional Premium features through subscriptions or one-time purchases processed by the Apple App Store (iOS) or Google Play Billing (Android). By purchasing a subscription you agree to:

• Pay all applicable fees and taxes through your platform store account.
• Automatic renewal of your subscription at the end of each billing period unless you cancel through your platform store at least 24 hours before the renewal date.
• Refunds are handled by Apple or Google according to their respective policies. We do not directly process payments and are not able to issue refunds.
• Daily quotas apply to AI features (transcription, recap generation) to control compute cost. Quotas reset every 24 hours.

Subscription pricing, renewal periods, and trial terms are shown in the App at the time of purchase and on the App Store / Google Play listing.

6. Acceptable Use

You agree not to:

• Use the App to play, transcribe, or generate recaps of content you do not have the legal right to use, including pirated audiobooks or copyrighted material you do not own a license to.
• Reverse-engineer, decompile, disassemble, or otherwise attempt to extract the source code of the App, except as permitted by applicable law.
• Circumvent the App's rate limits, premium gating, or other protective mechanisms.
• Use automated tools, scripts, or bots to interact with the App or its backend service.
• Use the App to harass, harm, or violate the rights of others.
• Use the App in any manner that violates applicable law or these Terms.

7. AI-Generated Content

Premium AI features (recaps, character analysis, narrated audio) generate output using third-party AI providers. The App's user interface clearly identifies these features as AI-generated before you invoke them, in compliance with applicable transparency requirements (including the EU AI Act). You acknowledge that:

• You are interacting with an AI system when you use these features.
• AI-generated content may be inaccurate, incomplete, or contain errors. The App provides AI output as informational only — it is not a substitute for the original source material.
• AI providers may have their own usage limits, rate limits, or content policies that affect output quality or availability.
• We make no guarantee about the accuracy, fitness for purpose, or absence of bias in AI output.
• You are responsible for reviewing AI output before relying on it for any meaningful decision.

8. Intellectual Property

The App, its design, code, artwork, and trademarks are owned by us and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding.

You retain all rights in any content you provide (audio files, bookmarks, playback positions). By using AI features, you grant us a limited license to process your content as necessary to deliver the feature you requested, as described in the Privacy Policy.

9. Third-Party Services

The App integrates with third-party services including Google Drive, Google Sign-In, Apple App Store, Google Play Billing, Cloudflare Workers, Firebase Crashlytics, Groq, Anthropic, Google Gemini, xAI, OpenAI, and Audnex. Your use of those services is governed by their respective terms and privacy policies. We are not responsible for the acts, omissions, or content of any third-party service.

10. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT THE APP WILL BE ERROR-FREE, SECURE, OR ALWAYS AVAILABLE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOUR USE OF THE APP IS AT YOUR OWN RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE, OUR AFFILIATES, OR OUR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR USD $50, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify and hold us harmless from any claim, demand, loss, or damages, including reasonable attorneys' fees, arising out of (a) your use of the App, (b) your violation of these Terms, or (c) your infringement of any third party's rights, including content you store in your Drive folder.

13. Termination

You may stop using the App and revoke its access to your Google account at any time at Google Account Permissions. Uninstalling the App removes all locally stored data. We may suspend or terminate your access to Premium features if you violate these Terms or for any reason at our discretion. Sections 8 (Intellectual Property), 10 (Disclaimer), 11 (Limitation of Liability), 12 (Indemnification), and 15 (Governing Law) survive termination.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected on this page with an updated effective date. Continued use of the App after an update constitutes acceptance of the revised Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be resolved in the competent courts of Tel Aviv, Israel, except that you may also bring claims in your local small-claims court where applicable law permits.

Nothing in these Terms limits your statutory consumer-protection rights under the law of your country of residence.

16. Apple App Store Additional Terms

If you obtained the App through the Apple App Store:

• These Terms are between you and us, not between you and Apple. Apple is not responsible for the App or its content.
• Your license is limited to using the App on Apple-branded devices you own or control, as permitted by the App Store Terms of Service.
• Apple has no obligation to provide support or maintenance for the App.
• If the App fails to conform to any warranty, you may notify Apple, and Apple will refund the App's purchase price; to the maximum extent permitted by law, Apple has no other warranty obligation.
• Apple is a third-party beneficiary of these Terms and may enforce them against you.

17. Google Play Additional Terms

If you obtained the App through Google Play, your use is also subject to the Google Play Terms of Service. Refunds and billing disputes for Google Play purchases are handled by Google.
